INTRODUCTION
§ 1 Name and registered office
The name of the Cooperative is Sonder Collective osk and its registered office is located in Helsinki, Finland.
§ 2 Purpose and field of activity of the Cooperative
The goal of the co-operative is to enable its members and partners to collaborate on engagements to advance positive and sustainable change for society and the planet. The co-operative is working towards this goal by supporting its members with the provision of services that enable this collaboration.
The Cooperative will engage in organisational activities, scientific research and development, management consultation and other specialised services intended for the business community.
The Cooperative may engage in these activities in Finland and other countries.
§ 3 Application for an effective date of membership
The application for membership in the Cooperative shall be filed in writing with the Board of the Cooperative. The decisions regarding the approval of the application or the approval procedure and membership criteria shall be made by the Board. Membership in the Cooperative shall commence when the application is granted.
§ 4 Termination of membership
A member may resign from the Cooperative by filing a written notice of resignation with the Cooperative. A notice of resignation is deemed to have been duly served when provided in writing to a member of the Board, Executive Director or other authorised signatory authorised to sign for and on behalf of the Cooperative jointly or severally.
A member may be expelled from the Cooperative if he or she fails to fulfil his/her obligations arising out of the membership, discontinues the use of the services provided by the Cooperative, causes the Cooperative to incur loss or damage as a result of his/her actions or otherwise acts against the Cooperative’s best interests. Any decision to expel a member shall be made by the Board.
A written notification indicating the grounds for expulsion and the meeting of the Board at which the decision on expulsion is to be made shall be provided to the member no later than one month before the meeting. Such notification shall be provided to the member to the address indicated in the membership register or other address known to the Cooperative. The member about to be expelled may require that the decision on expulsion be referred to the General Meeting of the Cooperative. Any written request for referral shall be provided to a member of the Board of the Cooperative, Executive Director or authorised signatory within one month of the date when such the member concerned was provided the notice of expulsion to the address indicated in the membership register or other address known to the Cooperative. The Board may also refer the matter to the General Meeting without any specific request to this effect. Any decision of expulsion may be challenged by the expelled member in a court of law.
